If you need to cancel or reschedule, please contact us as soon as possible. Depending on the timing, cancellation fees or partial refunds (if any) will be governed by the terms you received at the time of booking.
3.2 Nacorm Cancellation
We may, at our discretion, reschedule or cancel a consultation if unforeseen circumstances arise (for example, unavailability of key personnel). In such cases, we will make reasonable efforts to notify you in advance and arrange an alternative date or refund any fees already paid.
4. Confidentiality
4.1 Obligation of Confidentiality
Each party agrees to treat as confidential all information disclosed by the other party in connection with any consultation or engagement, except as required by law or with the disclosing party’s prior written consent.
4.2 Scope
This obligation extends to both written and oral information and continues even after the consultation or engagement has ended.
5. Data Protection
5.1 Compliance with Law
Both parties shall comply with all applicable data protection laws, including the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.

7.2 Exclusions
To the maximum extent permitted by law, we shall not be liable for:
- Loss of profit, revenue, or business;
- Indirect or consequential losses;
- Any reliance placed on advice or recommendations given during a consultation without further professional verification.
7.3 Maximum Liability
Our total liability for any and all claims arising under these Terms shall not exceed the total fees paid by you for the relevant consultation or services.
8. Indemnity
You agree to indemnify, defend, and hold harmless ZedSoft (including Nacorm) from and against any losses, liabilities, costs, or claims arising out of or related to your misuse of the Website or any breach of these Terms.
9. Force Majeure
We shall not be in breach of these Terms or liable for delay in performing, or failure to perform, any obligations if such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, strikes, lockouts, or other industrial disputes, epidemic or pandemic, or interruption of utility service.
10. Termination
Either party may terminate these Terms upon written notice if the other party commits a material breach of any provision and fails to remedy the breach within a reasonable timeframe. Any fees incurred up to termination remain payable.
11. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with their subject matter or formation (including non‐contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. Each party agrees to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We reserve the right to amend these Terms at any time. Any updates will be posted on the Website with a revised “Effective Date.” By continuing to use the Website or our services after any changes, you agree to the updated Terms.
